# WAAPITOOL.COM Vendor Terms and Conditions **Effective Date:**09/06/2026 These Vendor Terms and Conditions ("Agreement") govern the relationship between WAAPITOOL.COM ("Company", "WAAPITOOL", "we", "our", or "us") and the Vendor, Reseller, Agency, Technology Partner, or Customer ("Vendor", "you", or "your") using services provided through WAAPITOOL.COM. ## 1. Services WAAPITOOL.COM provides access to the WhatsApp Business Platform, messaging tools, APIs, automation solutions, customer engagement software, and related services. All services are provided subject to Meta's WhatsApp Business Platform policies, terms, and guidelines. ## 2. Eligibility By using WAAPITOOL.COM services, you represent and warrant that: * You are legally authorized to act on behalf of your business. * Your business complies with all applicable laws and regulations. * You have authority to accept these Terms. ## 3. Compliance with Meta Policies Vendor agrees to comply with: * WhatsApp Business Platform Terms * Meta Business Messaging Policies * WhatsApp Messaging Guidelines * Applicable privacy and data protection laws Any violation may result in immediate suspension or termination of services. ## 4. Prohibited Activities Vendor shall not: * Send spam, unsolicited, or misleading messages. * Promote illegal products or services. * Use purchased, scraped, or unauthorized contact lists. * Engage in phishing, fraud, scams, or deceptive marketing. * Violate Meta, WhatsApp, or local regulatory requirements. WAAPITOOL reserves the right to suspend accounts without notice where prohibited activity is detected. ## 5. Customer Data Vendor retains ownership of customer data submitted through the platform. Vendor is solely responsible for: * Obtaining valid user consent. * Maintaining lawful processing of personal information. * Responding to customer privacy requests. WAAPITOOL acts only as a technology service provider and does not assume responsibility for customer data uploaded by Vendors. ## 6. Messaging Charges Messaging fees, conversation charges, and related costs are determined by Meta and may change without notice. Vendor agrees to pay: * Platform subscription fees * Message delivery charges * Additional service fees agreed between parties Failure to pay invoices may result in suspension of services. ## 7. Service Availability WAAPITOOL will use commercially reasonable efforts to maintain service availability. However, WAAPITOOL does not guarantee uninterrupted service and shall not be liable for outages caused by: * Meta systems * WhatsApp infrastructure * Internet providers * Third-party service providers * Force majeure events ## 8. Intellectual Property All software, trademarks, branding, APIs, documentation, and platform components remain the exclusive property of WAAPITOOL or its licensors. Vendor may not: * Copy or reverse engineer the platform. * Resell services without written authorization. * Use WAAPITOOL branding without permission. ## 9. Confidentiality Both parties agree to keep confidential information private and not disclose such information to third parties without prior written consent. This obligation survives termination of this Agreement. ## 10. Limitation of Liability To the maximum extent permitted by law: WAAPITOOL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business interruption, or loss of data. WAAPITOOL's total liability shall not exceed the amount paid by Vendor during the preceding three (3) months. ## 11. Indemnification Vendor agrees to defend, indemnify, and hold harmless WAAPITOOL, its directors, employees, and affiliates against claims arising from: * Vendor content * Messaging campaigns * Regulatory violations * Breach of these Terms * Misuse of the platform ## 12. Suspension and Termination WAAPITOOL may suspend or terminate services immediately if: * Vendor violates Meta or WhatsApp policies. * Fraudulent activity is detected. * Required payments are overdue. * Continued service presents legal or reputational risk. Upon termination, access to the platform may be revoked immediately. ## 13. Changes to Terms WAAPITOOL may update these Terms at any time. Continued use of services after updates constitutes acceptance of the revised Terms. ## 14. Governing Law This Agreement shall be governed by the laws of [Insert Country/Jurisdiction]. Any disputes arising under this Agreement shall be resolved exclusively in the courts of that jurisdiction. ## 15.
